Welcome to MultifamilyOS.ai. These Terms of Service ("Terms") govern your access to and use of our website, applications, community platforms, memberships, and tools (collectively, the "Services").

By entering your email address to sign up, clicking the confirmation link in your signup email, logging in with your password, subscribing, or using any part of the Services, you confirm that:

• You were shown clear and conspicuous notice of these Terms,
• You had an opportunity to review them before proceeding, and
• You affirmatively agree to be bound by them.

If you do not agree, do not use the Services.

1. Assent to Terms

1.1 Signup and Email Confirmation

To access the Services, you must:

• Enter your email address on the signup page,
• Receive a confirmation email from MultifamilyOS.ai,
• Click the confirmation link in that email, and
• Log in using your email address and the password provided.

By clicking the confirmation link in your signup email and/or logging into the platform, you acknowledge that:

• These Terms were made available to you before and during the signup process,
• You had the opportunity to review them, and
• Your signup confirmation and continued use of the Services constitute binding acceptance of these Terms.

1.2 Access Constitutes Agreement

Your first login, continued use of the Services, or upgrade to any paid membership tier constitutes ongoing acceptance of these Terms as they may be updated from time to time. You cannot create an account, subscribe, or access the Services without agreeing to these Terms.

1.3 Terms Availability

These Terms are only available at https://multifamilyos.ai/about.

You are responsible for reviewing these Terms before using the Services. Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.

2. Membership Tiers and Services

MultifamilyOS.ai offers several membership levels, each with distinct access rights and limitations:

2.1 Core (Free) Membership

Provides introductory access to limited tools and content for evaluation purposes.

2.2 Plus Membership

Includes all Core benefits plus access to enhanced AI-powered analysis tools and expanded content libraries.

2.3 Professional ("Pro") Membership

Includes all Plus features, plus access to advanced training programs and weekly digital group coaching sessions.

2.4 Cohort Membership

Includes all Pro features, plus live coaching sessions, structured accountability groups, and access to investor and funding communities when available.

Features, limits, and availability may change over time. Continued use after such changes constitutes acceptance.

3. Eligibility

You represent that you are at least 18 years old, have the legal capacity to enter a binding agreement, will provide accurate, current information, and will not share your login credentials or access with others.

We may suspend or terminate access if eligibility requirements are not met.

4. Payments, Renewals, and Refunds

4.1 Billing

Paid memberships are billed automatically to the payment method you provide at checkout or through your account.

4.2 Automatic Renewal

Subscriptions renew automatically unless canceled prior to the renewal date. Renewal terms are displayed at checkout.

4.3 Pricing Changes

We may change membership pricing with at least thirty (30) days' notice. Continued use after such notice constitutes acceptance of new pricing.

4.4 Refund Policy

Unless stated otherwise in writing:

• Payments for Plus, Pro, and Cohort memberships are non-refundable.
• No refunds are provided for partial months, unused time, or early cancellations.
• Cohort programs may include separate written terms regarding payments or refunds.

4.5 Failed or Disputed Payments

If your payment fails or is reversed, we may suspend or terminate access until payment is resolved. You remain responsible for any unpaid amounts and related costs.

5. Acceptable Use

You agree not to:

• Use AI outputs as professional legal, tax, financial, or investment advice,
• Violate any law regarding capital raising or securities,
• Copy, resell, or distribute materials outside your membership rights,
• Interfere with platform operations or other users,
• Attempt unauthorized access to accounts, systems, or data,
• Scrape, crawl, or reverse-engineer platform content or architecture.

Violations may result in suspension or termination without refund.

6. AI Outputs, Disclaimers, and Limitations

6.1 Informational Use Only

AI outputs and platform materials are provided solely for informational and educational purposes. They do not constitute:

• Legal advice,
• Financial or tax guidance,
• Real estate brokerage, underwriting, or appraisal services, or
• Professional consulting.

You are responsible for independently verifying all outputs.

6.2 Accuracy Disclaimer

AI outputs may contain inaccuracies or omissions. MultifamilyOS.ai does not warrant the accuracy or reliability of any generated content.

6.3 User Responsibility

You assume full responsibility for any use of AI-generated outputs and all resulting actions, outcomes, or decisions.

7. Data Use and Privacy

We collect and use information as described in our Privacy Policy, including account and payment data, usage activity and analytics, and user-provided inputs or uploads.

We do not sell personal information. Aggregated or anonymized data may be used to improve Services and AI performance.

8. Community, Coaching, and Capital Club Participation

8.1 Conduct

You agree to act respectfully and professionally in all community, coaching, or Capital Club environments. Harassment, solicitation, or sharing of confidential information is prohibited.

8.2 Capital Club

Access to investor or funding communities does not guarantee investment, capital, or deal approval. You are solely responsible for compliance with applicable securities laws.

8.3 Moderation and Removal

We may limit, suspend, or revoke community or coaching access for misconduct.

9. Intellectual Property

All content, software, workflows, AI prompts, graphics, documents, and related materials are the exclusive property of MultifamilyOS.ai.

You may not copy, modify, or distribute materials without written permission.

Any feedback, ideas, or suggestions you provide become our property without obligation or compensation.

10. Third-Party Services

The Services may rely on or integrate with third-party tools or APIs (such as Stripe, Supabase, and OpenAI).

We are not responsible for third-party accuracy or reliability, outages or service interruptions, or losses arising from third-party systems.

Use of third-party integrations is subject to their respective terms.

11. Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms,
• Your account is used unlawfully,
• You fail to maintain valid contact or payment information, or
• You block essential system communications.

Terminations for violations are not eligible for refunds.

You may cancel at any time through your account settings.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided "as is" and "as available."
• MultifamilyOS.ai disclaims all implied warranties, including merchantability or fitness for a particular purpose.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to the amount paid by you in the three (3) months preceding any claim.

13. No Guarantee of Results

Real estate and investment activities involve inherent risks. MultifamilyOS.ai makes no guarantees regarding returns, profits, or outcomes, deal acquisition or closing, financing or investor success, or community participation results.

You are solely responsible for all investment and business decisions.

14. Arbitration and Class Action Waiver

14.1 Binding Arbitration

All disputes or claims arising from these Terms shall be resolved by binding individual arbitration administered by a recognized arbitration provider.

14.2 No Class Actions

You agree that claims must be brought individually and not as part of a class, group, or representative proceeding.

14.3 Venue

Unless otherwise agreed, arbitration will be conducted remotely or in a mutually agreed location.

14.4 Injunctive Relief

Either party may seek temporary or injunctive relief in a court of competent jurisdiction for intellectual property or data security matters.

14.5 Severability

If any portion of this arbitration clause is found unenforceable, the remainder shall remain in effect.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be announced via in-account notices or email.

Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, except where preempted by federal law.

17. Communications and Notices

17.1 Required Communications

By using the Services, you agree to receive essential system communications, including account and billing notifications, security alerts, service updates, and legal or policy notices.

17.2 Email Requirements

You must maintain a valid, active email address capable of receiving messages from MultifamilyOS.ai domains.

Failure to do so may result in suspension or termination.

17.3 Contact

18. Interpretation and Survival

If any provision of these Terms is held invalid, the remainder will remain enforceable.

Sections regarding intellectual property, disclaimers, limitation of liability, arbitration, and governing law will survive termination.
